SaaS Terms of Service
Georgia-incorporated billing, quoting and invoicing platform | 27 October 2026
Agreement details
Provider: PDQ Invoice LLC (“Provider,” “we,” “us”). Website: pdqinvoice.com. Support: info@pdqinvoice.com. Mailing address: 1454 Oakmont Dr., Acworth, GA 30102. Effective date: 27 October 2026. Version: 2026-10-27
1. Acceptance; authority; scope
These Terms of Service (“Terms”) govern access to the hosted software, portals, document-generation, electronic quote-acceptance, invoicing, receipts, payment integrations, and related services (“Service”). A person creating or administering an organization account represents that they have authority to bind that organization (“Customer”). The Terms take effect only when the authorized representative affirmatively accepts them through the Service or signs an order form referencing them. We will preserve the accepted version and acceptance event. Individual team users must accept applicable user terms before access. The Service may also be used to interact with Customer’s end customers; those individuals do not become parties to this business subscription agreement solely by receiving a quote or invoice.
2. Eligibility and permitted use
Customer must provide accurate account information, maintain authorized users, protect credentials, and use the Service only for lawful business purposes. Customer is responsible for user activity under its account except to the extent caused by Provider’s breach or negligence. Customer must not misuse the Service, attempt unauthorized access, transmit malware, violate privacy or consumer-protection laws, or use the Service for prohibited transactions. Provider may reasonably suspend access to address security threats, illegal activity, nonpayment, or material violations, with notice when practicable.
3. Service features and document responsibility
The Service enables Customer to prepare estimates, quotes, invoices, and receipts; obtain typed-name acceptance of quotes; and review related event history. Customer controls the content, prices, taxes, scope of work, cancellation notices, disclosures, and legal suitability of documents it issues. Provider does not supply legal advice or warrant that a generic quote complies with every state’s home-service, contractor, consumer, or electronic-disclosure requirements. Customer is responsible for any legally required paper delivery, notices, licenses, or contract language. Issued invoices and accepted quotes are intended to be locked against ordinary editing; corrections should use traceable replacement, void, or adjustment workflows.
4. Electronic records and quote acceptance
Customer authorizes use of electronic records and signatures where legally permitted and will obtain any required end-customer consent. A typed name may serve as an electronic signature where the signer intends to sign and the other applicable legal requirements are satisfied. Provider records the entered name, acceptance time, final quote content, and available event and attribution information. Private email links do not by themselves verify signer identity. Customer must assess whether additional authentication or special disclosures are necessary for a transaction. The Service must not be used as the sole compliance mechanism for transactions that require special formalities unless Customer has verified that the workflow satisfies them.
5. Payments; third-party processor
Payments are processed through Stripe or another identified processor subject to its separate terms. Provider does not promise that Stripe will preserve Customer’s records for any particular period. Customer is responsible for merchant-account compliance, payment disputes, refunds, sales and use taxes, and reconciliation. The Service retains invoices and receipts and may display payment status and references; processor records are not a substitute for Customer’s accounting records.
6. Customer Data; ownership; license
“Customer Data” means information, records, and documents submitted by or on behalf of Customer or created for Customer through the Service, excluding Provider’s software, aggregated non-identifying operational metrics, and independently generated security information. As between Provider and Customer, Customer retains its rights in Customer Data. Customer grants Provider a limited license to host, process, transmit, secure, back up, export, and delete Customer Data as needed to provide the Service and meet legal obligations. Customer represents it has the authority and lawful basis to provide personal information and instruct Provider to process it.
7. Privacy, security, and processing roles
Provider will maintain reasonable administrative, technical, and physical safeguards appropriate to the data and risks, including access controls, encryption where appropriate, logging, incident response, and secure deletion procedures. The parties’ respective privacy obligations and any applicable processor/service-provider terms will be further described in a separate Data Processing Addendum (“DPA”), incorporated when executed. The Privacy Policy explains Provider’s own data practices; it is not a substitute for the DPA or Customer’s notices to its end customers. Provider may use subprocessors, including hosting and payment providers, as disclosed in applicable documentation.
8. Record retention, export, and deletion
Customer determines and remains responsible for the legal retention periods applicable to its business documents, including signed quotes, invoices, receipts, tax records, and homeowner agreements. Provider hosts Customer Data during the active subscription, subject to these Terms and applicable law. During the subscription, Customer may download individual documents and available CSV reports; bulk export may require a verified request to Provider support. Export scope and format will be described in the export documentation and may include PDFs, CSV/JSON data, and associated acceptance or audit evidence where available.
Upon termination, Provider will make a reasonable export opportunity available for ninety (90) calendar days through limited access or administrator-assisted export, unless a different period is required by law or agreed in writing. Provider will send notice of the export deadline to the account administrator at the registered email address. Following that period, Provider may delete Customer Data from active systems after checking for applicable legal holds, statutory requirements, pending disputes, and contractual exceptions. Backups will age out under a documented backup schedule; immediate erasure from all backups is not promised. Provider may retain narrowly necessary information for security, fraud prevention, legal compliance, or dispute resolution. Customer should verify its export before the deadline and maintain its own legally required copies. Provider will not delete records that it is legally required to preserve.
9. Subscription, fees, taxes, and renewal
Fees, billing intervals, trial periods, renewal terms, and cancellation mechanics will be stated on the checkout page or applicable order form and must be disclosed before purchase. Unless otherwise specified, fees are [INSERT FEE/REFUND POLICY]. Provider may change future subscription prices with [NOTICE PERIOD] advance notice and any consent required by applicable law. Customer is responsible for applicable taxes other than taxes on Provider’s income. No automatic renewal or cancellation term should be published until it matches the actual checkout flow and applicable state and federal requirements.
10. Availability, changes, and support
Provider will use commercially reasonable efforts to operate the Service, but scheduled maintenance, internet disruptions, third-party failures, and security events may affect availability. Any uptime commitment, service credit, or support response time applies only if expressly stated in a separate service-level agreement. Provider may modify features, but will provide reasonable notice of material changes that substantially reduce paid functionality, subject to emergency security needs.
11. Confidentiality
Each party will protect the other’s nonpublic confidential information using reasonable care and disclose it only to personnel and service providers with a need to know and appropriate confidentiality obligations. Exceptions include information independently developed, publicly available without breach, lawfully received from another source, or required to be disclosed by law after appropriate notice where permitted.
12. Intellectual property and feedback
Provider and its licensors retain ownership of the Service, software, trademarks, and documentation. Customer receives a limited, nonexclusive, nontransferable right to use the Service during the subscription. Customer grants Provider permission to use voluntary feedback to improve the Service without identifying Customer or disclosing confidential information.
13. Warranties and disclaimers
Each party represents that it has authority to enter these Terms. EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR REQUIRED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NOTHING HERE EXCLUDES RIGHTS OR WARRANTIES THAT CANNOT LAWFULLY BE EXCLUDED.
14. Liability allocation
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THESE TERMS. SUBJECT TO THE EXCLUSIONS BELOW, EACH PARTY’S TOTAL LIABILITY WILL NOT EXCEED THE FEES PAID OR PAYABLE BY CUSTOMER DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THIS CAP DOES NOT APPLY TO FRAUD, WILLFUL MISCONDUCT, UNPAID FEES, OR LIABILITIES THAT CANNOT LAWFULLY BE LIMITED; ADDITIONAL CARVE-OUTS FOR CONFIDENTIALITY, DATA SECURITY, AND INDEMNIFICATION MUST BE NEGOTIATED WITH COUNSEL BEFORE PUBLICATION.
15. Indemnification
Customer will defend and indemnify Provider against third-party claims arising from Customer’s unlawful document content, failure to provide required consumer notices, or misuse of the Service, to the extent caused by Customer and permitted by law. Provider will defend Customer against third-party claims that the unmodified Service infringes U.S. intellectual property rights, subject to customary exclusions. The parties will give prompt notice, reasonable cooperation, and control of defense subject to consent for settlements imposing nonmonetary obligations. Counsel must finalize this section and its interaction with the liability cap.
16. Termination and survival
Either party may terminate for a material breach not cured within [30] days after written notice, except where immediate action is necessary to address security or unlawful activity. Customer may cancel renewal using the method shown in account settings or the order form. Upon termination, access ends subject to the export period in Section 8. Payment obligations, ownership, confidentiality, dispute provisions, and provisions intended to survive will survive as applicable.
17. Governing law; disputes
These Terms are governed by Georgia law, excluding conflicts rules, except to the extent mandatory laws of another jurisdiction apply. The parties consent to courts of competent jurisdiction located in [Cherokee County], Georgia for disputes, subject to mandatory venue or consumer-protection law. [COUNSEL TO DECIDE WHETHER TO INCLUDE ARBITRATION, CLASS-WAIVER, SMALL-CLAIMS, OR PRE-SUIT NOTICE PROVISIONS.] These Terms govern the B2B subscription relationship, not automatically every homeowner agreement issued through the Service.
18. Notices; changes; general terms
Provider may send operational and contractual notices to the registered administrator email. Customer must keep that address current. Material changes to these Terms will be communicated in advance, and renewed affirmative acceptance will be obtained when legally or contractually required. If a provision is unenforceable, the remainder remains effective to the extent permitted. Neither party may assign these Terms except as permitted in an order form or in connection with a qualifying corporate transaction. These Terms, applicable order forms, and executed DPA constitute the agreement and control in the order of precedence specified in the order form.
